Support Standards for the Fund Corporation for the Overseas Development of Japan's ICT and Postal Services
機構が対象事業支援の対象となる事業者及び当該対象事業支援の内容を決定するに当たって従うべき基準を次のとおり定めることとする。
The standards which the Fund Corporation for the Overseas Development of Japan's ICT and Postal Services (hereinafter referred to as "JICT") must comply with when deciding on business operators subject to support for target business operators and the content of that support for target business operators are as follows:
1 支援の対象となる対象事業が満たすべき基準
(1) Standards that target businesses subject to support must meet
機構の支援の対象となる対象事業は、次の(1)から(4)までに定める基準をいずれも満たすこととする。
The target business subject to JICT's support must meet all of the standards specified in (1) through (4) below:
(1) 政策的意義
1. Policy purport
① 我が国の事業者に蓄積された知識、技術及び経験が活用され、我が国及び海外における通信・放送・郵便事業に共通する需要の拡大に通じるものであること。
(i) The target business utilizes the knowledge, technology and experience accumulated by Japanese business operators, and leads to the expansion of common demand for communication, broadcasting and postal businesses in Japan and overseas;
② 通信・放送・郵便に係るインフラの整備及びその運営若しくは維持管理又はこれらと当該インフラを活用したICTサービス若しくは放送コンテンツの提供等をパッケージで行おうとするものであること。
(ii) the target business seeks to develop and operate, or maintain and manage infrastructures related to communication, broadcasting and postal businesses, or integratedly conduct ICT services utilizing those infrastructures and provision of broadcast contents, etc.;
③ 海外における需要の開拓又は事業の円滑な運営のために、機構による支援が有効であると見込まれるものであること。
(iii) JICT's support is expected to be effective for development of overseas demands or for smooth operation of the target business; and
④ 我が国の外交政策及び対外経済政策との調和がとれているものであること。
(iv) The target business is harmonized with Japan's diplomatic policy and foreign economic policy.
(2) 民間事業者のイニシアティブによる運営
2. Operation on the initiative of private business operators
① 機構と協調して、民間事業者から対象事業者に対して出資等の資金供給が行われること。
(i) private business operators provide contributions or other funds to the target business operators, in coordination with JICT;
② 民業補完性に配慮し、機構が我が国の事業者との間で対象事業者への最大出資者とならないこと。ただし、機構が我が国の事業者との間で最大出資者となることが一時的であると認められる場合は、この限りでない。
(ii) considering the nature of subsidiarity in private sector of JICT's support to private-sector businesses, JICT must not be the largest investor in the target business in relation to Japanese business operators. Provided, however, that this does not apply if it is recognized that JICT's position of largest Japanese investor in the target business operator is a temporary one.
(3) 対象事業の長期収益性の確保
3. Ensuring long-term profitability of the target business
① 対象事業が公的な資金による支援を受けることに鑑み、対象事業を効率的、効果的かつ確実に実施する体制を確保する等、対象事業者が適切な経営責任を果たすことが見込まれること。
(i) considering that the target business receives support from public funds, the target business operator is expected to fulfill appropriate management responsibilities, such as securing a system to efficiently, effectively and reliably implement the target business;
② デューディリジェンスを通じて、長期的には利益が確保できると見込まれるものであること。
(ii) through due diligence, the target business operator is expected to secure profits in a long term;
③ 支援決定を行ってから一定の期間以内に、機構が保有する対象事業者に係る株式等の譲渡その他の方法による資金回収が可能となる蓋然性が高いものであること。
(iii) within a certain period after the decision to provide support, there is a high probability that the funds invested by JICT will be recovered through transfer of shares, etc. of the target business operator owned by JICT and other methods; and
④ 外部要因等により撤退を余儀なくされる場合に備え、対象事業者が、関係者との間で、あらかじめ撤退に関する取決めを行っていること。
(iv) Iin order to prepare for the cases compelling withdrawal from the target business due to external factors or other reasons, the target business operator has made arrangements in advance with persons concerned regarding withdrawal from the business.
(4) 他の公的機関との関係
4. Relationship with other public organizations
機構と株式会社国際協力銀行、独立行政法人国際協力機構及び独立行政法人日本貿易保険をはじめとする他の公的機関との間で十分な連携の下で適切な役割分担が行われていること。
Appropriate division of roles is implemented, with sufficient coordination among JICT, Japan Bank for International Cooperation, the Japan International Cooperation Agency, Nippon Export and Investment Insurance and other public organizations.
2 対象事業支援全般について機構が従うべき事項
(2) Matters that JICT must comply in regards to general support for target business operators.
機構が対象事業支援を行うに当たっては、次の(1)から(5)までのいずれにも従うこととする。
In providing support to support for target business operators, JICT must comply with all standards in items (1) through (5) below:
(1) 運営全般
1. General operation
① 機構の支援は公的な資金を活用するものであることに鑑み、政策目的に沿って効率的に運営すること。
(i) Considering that JICT's support uses public funds, JICT must be efficiently operated in line with the purposes of the policy objectives
② 民間事業者の事業活動を後押しする視点を踏まえ、民業補完に徹すること。
(ii) from the viewpoint of supporting business activities of private business operators, JICT must assure the subsidiarity in private business of its role;
③ リスクが高く民間事業者のみでは十分な実施が困難な事業に対し、他の公的機関を含む関係者間で適切なリスク共有を図りつつ資金供給を行うこと。
(iii) JICT must provide funds to high risk businesses which cannot be sufficiently conducted only by private business operator, with appropriate risk sharing with persons concerned including other public organizations;
④ 民間事業者の人材・ノウハウを活用すること等を通じて、支援に必要な体制を構築すること。また、将来民間事業者で活躍できる事業創造の核となる人材の育成に努めること。
(iv) JICT must establish a system necessary for the support by utilizing human resources, know-how of private business operators, etc. It must also endeavor to develop human resources that can play core roles in creating businesses in private business operators in the future;
⑤ 現地における我が国公的機関と連携し、対象事業の円滑な運営のため、相手国政府・民間事業者その他関係者との交渉・調整を行うこと。
(v) JICT must coordinate with Japanese public organizations operating in foreign countries, negotiate and coordinate with the governments, private business operators and other persons concerned in these countries to promote smooth operation of the target business;
⑥ 国に対し、対象事業の状況等について適時・適切に報告すること。
(vi) JICT must report the status of the target business to the State in a timely and appropriate manner;
⑦ 新規及び継続中の対象事業について支援継続の必要性等を事業年度ごとに検証し、その検証結果を踏まえ、必要に応じ、当該対象事業への支援及び投資全体の運用方針を適切に見直すこと。
(vii) JICT must verify the necessity, etc. of continuing support regarding new and continuing target businesses every fiscal year. Based on the results of verification, JICT must appropriately review the support for those target businesses and its operation policy of general investment as necessary; and
⑧ 投資に係るリスクを継続的に把握・評価し、専門人材の確保を含めたリスク管理のための体制を整備した上で、適切なリスク管理を行うこと。併せて、コンプライアンスリスクの管理も十分に行うこと。
(viii) JICT must continuously identify and assess investment risks and conduct appropriate risk management by establishing a risk management system with, including retaining expert personnel. It must also fully manage compliance risks.
(2) 投資規律の確保
2. Securing investment discipline
① 情報の取扱いについては、競争に与える影響等を踏まえ、適正に行うこと。その上で、適切な情報開示を継続的に行うことで、国民に対する説明責任を果たすこと。
(i) Information is properly handled, taking into consideration its impact, etc. on competition. On this premise, JICT must fulfill its accountability to the people by continuously disclosing proper information;
② 事業を推進する機能と事業性を判断する機能のバランスの取れた適切な体制を構築すること等を通じ、投資規律を確保すること。
(ii) JICT must secure investment discipline by establishing an appropriate system that balances the functions to promote business and judge business viability, etc.;
③ 民間事業者の慣行を踏まえ、投資プロフェッショナルをはじめとする機構の役職員の報酬を業績と連動させる等、機構の役職員が責任をもって業務を行う体制を整備すること。
(iii) considering the practices of private business operators, JICT must establish a system whereby officers and employees of JICT perform their duties with responsibility, by linking the remuneration of investment professionals and other officers and employees of JICT to their performance results, etc. and
④ 投資事業を行う組合等を経由した支援を行う場合においても、政策目的を踏まえた適切な投資が行われるよう契約により担保するとともに、適切にフォローアップを行うこと。
(iv) even if JICT's support is provided through a partnership, etc. that conducts investment business JICT must secure, by contract, that appropriate investments in line with the policy objectives are made, and conduct appropriate follow-ups.
(3) 機構の長期収益性の確保
3. Securing long-term profitability of JICT
① 個別の対象事業支援を通じて得られる総収入額が、長期的に必要な総支出額(出資者に対する適切な配当を含む。)を上回るよう、事業年度ごとに進捗状況や収益性を適宜評価しつつ、長期収益性を確保すること。
(i) JICT must secure its long-term profitability by evaluating the progress and profitability of individual Subject Business Activities from time to time in each business year so that the gross revenue obtained by giving individual support to these target businesses will exceeds the long-term total expenditure (including appropriate dividends to investors);
② 対象事業の収益が悪化した場合に、その改善に向けた措置を尽くすこと。それでもなお改善が見込めない場合には、対象事業者を含む第三者への保有株式売却等の方策を検討すること。
(ii) If the profitability of a target business deteriorates, JICT must take measures to improve it. If improvement is unexpected even after taking such measures, JICT must consider selling shares of the target business operator it holds to a third party (including sale to the target business operator)
③ 対象事業には想定していた需要を確保できずに採算割れを招く「需要リスク」が存在することを踏まえ、投資案件が特定の事業類型に過度に偏ることがないよう、機構の目的の範囲内における投資の中で適切な分散投資を行うこと。
(iii) Considering that the target business involves the "demand risk" that it may fall under the break-even-point because the demand cannot be increased as expected, JICT must appropriately diversify its investments within the scope of its purpose to ensure that investments are not excessively concentrated to specific business types; and
④ 民間事業者と連携・調整の上、必要に応じて機構の役職員又は外部の専門家を派遣する等、適切に対象事業に対する事業参画・運営支援を行うこと。
(iv) JICT must appropriately participate in the businesses of and provide support for the operation of the target business, in cooperation and coordination with private enterprises, including dispatching its officers and employees or external experts as necessary.
(4) 機構への民間出資者等との関係
4. Relationship with private investors
① 機構への民間出資者等の構成について、機構の中立性及び幅広い民間出資者等を確保する観点から適切なものにすること。
(i) The make-up of private investors in JICT must be appropriate from the viewpoint of maintaining the neutrality of JICT and holding a wide range of private investors; and
② 機構の業務執行の方針について、必要に応じ、機構への民間出資者等から意見聴取を行い、機構の運営に反映させること。
(ii) JICT must listen to opinions of the private investors in JICT as necessary, concerning the policy for execution of JICT's business, and reflect them into its operation.
(5) 政府の関係施策との連携
5. Collaboration with related government programs
① 効率的・効果的に対象事業の支援を行う観点から、必要に応じて、関係省庁、地方公共団体、政府関係機関、対象事業に関連する官民ファンドその他関係者と相互に連携を図り、守秘義務に留意しつつ、情報交換等に取り組むこと。
(i) From the viewpoint of efficiently and effectively supporting Subject Business Activities, JICT must promote mutual cooperation with related ministries and agencies, local governments, government-affiliated organizations, public and private funds related to the Subject Business Activities and other related persons, as necessary, and endeavor to exchange information with these organizations while paying attention to confidentiality obligation.
② ベンチャー企業や地域経済を支える民間事業者への支援にも配慮すること。
(ii) JICT must also consider providing support to venture companies and private enterprises that support local economies.
