						<ArticleCaption>(Purpose of JICT)</ArticleCaption>

							<ParagraphNum/>
							<ParagraphSentence>
								<Sentence>The Fund Corporation for the Overseas Development of Japan's ICT and Postal Services is a stock company whose purpose is to contribute to sustainable growth of the national economy, as a result of efforts to improve the profitability of business operators in Japan who respond to the relevant demands, through the expansion of common demand for communication, broadcasting and postal businesses in Japan and overseas, by providing funds and other support for persons, etc. engaged in communication, broadcasting and postal businesses overseas, utilizing the knowledge, technology and experience accumulated by Japanese business operators.</Sentence>

					<Article Num="2" id="en_ch1at2">
						<ArticleCaption>(Definition)</ArticleCaption>
						<ArticleTitle>Article 2</ArticleTitle>
						<Paragraph Num="1" id="en_ch1at2cl1">
							<ParagraphNum>(1)</ParagraphNum>
							<ParagraphSentence>
								<Sentence>The term "communications, broadcasting and postal business" as used in this Act means the following:</Sentence>
							</ParagraphSentence>
							<Item Num="1">
								<ItemTitle>(i)</ItemTitle>
								<ItemSentence>
									<Sentence Num="1" Function="Main">telecommunication business (business providing services for the provision of telecommunication facilities for others' telecommunication in order to respond to the demands of others);</Sentence>
								</ItemSentence>
							</Item>
							<Item Num="2">
								<ItemTitle>(ii)</ItemTitle>
								<ItemSentence>
									<Sentence Num="1" Function="Main">broadcasting business (business providing services for the transmission of telecommunication intended to be received directly by the public);</Sentence>
								</ItemSentence>
							</Item>
							<Item Num="3">
								<ItemTitle>(iii)</ItemTitle>
								<ItemSentence>
									<Sentence>postal business (business providing service for the delivery of confidential correspondence and other postal items in order to respond to the demands of others); and</Sentence>
								</ItemSentence>
							</Item>
							<Item Num="4">
								<ItemTitle>(iv)</ItemTitle>
								<ItemSentence>
									<Sentence>businesses that contribute to the development of demand for services provided by the businesses specified in the preceding three items and other businesses closely related to the businesses specified in the preceding three items, which all share business profits and losses with these businesses specified in the preceding three items.</Sentence>

						</Paragraph>
						<Paragraph Num="2" id="en_ch1at2cl2">
							<ParagraphNum>(2)</ParagraphNum>
							<ParagraphSentence>
								<Sentence>The term "target business" as used in this Act means communication, broadcasting and postal service businesses conducted overseas or businesses supporting telecommunications, broadcasting and postal service businesses conducted overseas.</Sentence>
							</ParagraphSentence>
						</Paragraph>
					</Article>
					<Article Num="3" id="en_ch1at3">
						<ArticleCaption>(Number)</ArticleCaption>
						<ArticleTitle>Article 3</ArticleTitle>
						<Paragraph Num="1" id="en_ch1at3cl1">
							<ParagraphNum/>
							<ParagraphSentence>
								<Sentence>Only one Fund Corporation for the Overseas Development of Japan's ICT and Postal Services (hereinafter referred to as "JICT") is to be incorporated.</Sentence>
							</ParagraphSentence>
						</Paragraph>
					</Article>
					<Article Num="4" id="en_ch1at4">
						<ArticleCaption>(Shares Owned by the Government)</ArticleCaption>
						<ArticleTitle>Article 4</ArticleTitle>
						<Paragraph Num="1" id="en_ch1at4cl1">
							<ParagraphNum/>
							<ParagraphSentence>
								<Sentence>The government must at all times hold a number of shares (excluding shares of a class specified as being unable to exercise voting rights with respect to all of the matters for which a resolution can be made at a shareholders meeting; hereinafter the same applies in this Article) equivalent to 50 percent or more of the total number of shares issued by JICT.</Sentence>
							</ParagraphSentence>
						</Paragraph>
					</Article>
					<Article Num="5" id="en_ch1at5">
						<ArticleCaption>(Approval of Shares, Corporate Bonds and Borrowings)</ArticleCaption>
						<ArticleTitle>Article 5</ArticleTitle>
						<Paragraph Num="1" id="en_ch1at5cl1">
							<ParagraphNum>(1)</ParagraphNum>
							<ParagraphSentence>
								<Sentence>When JICT intends to solicit persons to subscribe for the shares for subscription provided in Article 199, paragraph (1) of the Companies Act (Act No. 86 of 2005) (referred to as "shares for subscription" in Article 45, item (i)), the share options for subscription provided in Article 238, paragraph (1) of the same Act (referred to as "share options for subscription" in the same item), or the bonds for subscription provided in Article 676 of the same Act (referred to as "bonds for subscription" in Article 35 and the same item in Article 45), intends to issue shares, bonds or share options in a share exchange or partial share exchange, or intends to borrow funds, JICT must obtain the approval of the Minister for Internal Affairs and Communications.</Sentence>
							</ParagraphSentence>
						</Paragraph>
						<Paragraph Num="2" id="en_ch1at5cl2">
							<ParagraphNum>(2)</ParagraphNum>
							<ParagraphSentence>
								<Sentence>When JICT has issued shares upon the exercise of share options, it must notify the Minister for Internal Affairs and Communications of that fact without delay.</Sentence>
							</ParagraphSentence>
						</Paragraph>
						<Paragraph Num="3" id="en_ch1at5cl3">
							<ParagraphNum>(3)</ParagraphNum>
							<ParagraphSentence>
								<Sentence>The total of the current amount of JICT's borrowings and the current principal amount of its obligations under the bonds issued thereby must not exceed the amount obtained by multiplying the total of the amount of its stated capital and the amount of its reserves by a factor specified by Cabinet Order.</Sentence>
							</ParagraphSentence>
						</Paragraph>
					</Article>
					<Article Num="6" id="en_ch1at6">
						<ArticleCaption>(Contributions by the Government)</ArticleCaption>
						<ArticleTitle>Article 6</ArticleTitle>
						<Paragraph Num="1" id="en_ch1at6cl1">
							<ParagraphNum/>
							<ParagraphSentence>
								<Sentence>If the government finds it to be necessary, it may make contributions to JICT of up to the amount specified in the budget.</Sentence>
							</ParagraphSentence>
						</Paragraph>
					</Article>
					<Article Num="7" id="en_ch1at7">
						<ArticleCaption>(Trade Name)</ArticleCaption>
						<ArticleTitle>Article 7</ArticleTitle>
						<Paragraph Num="1" id="en_ch1at7cl1">
							<ParagraphNum>(1)</ParagraphNum>
							<ParagraphSentence>
								<Sentence>JICT must use the characters “株式会社海外通信・放送・郵便事業支援機構” (pronounced "kabushiki gaisha kaigai tsushin housou yubin jigyo shien kiko) in its trade name.</Sentence>
							</ParagraphSentence>
						</Paragraph>
						<Paragraph Num="2" id="en_ch1at7cl2">
							<ParagraphNum>(2)</ParagraphNum>
							<ParagraphSentence>
								<Sentence>A person who is not JICT must not use the characters “株式会社海外通信・放送・郵便事業支援機構” (pronounced "kabushiki gaisha kaigai tsushin housou yubin jigyo shien kiko) in its name.</Sentence>
							</ParagraphSentence>
						</Paragraph>
					</Article>
				</Chapter>
				<Chapter Num="2" id="en_ch2">
					<ChapterTitle>Chapter II Incorporation</ChapterTitle>
					<Article Num="8" id="en_ch2at1">
						<ArticleCaption>(Information Required to Be Specified or Recorded in the Articles of Incorporation)</ArticleCaption>
						<ArticleTitle>Article 8</ArticleTitle>
						<Paragraph Num="1" id="en_ch2at1cl1">
							<ParagraphNum>(1)</ParagraphNum>
							<ParagraphSentence>
								<Sentence>Beyond the matters set forth in the items of Article 27 of the Companies Act, the following information must be specified or recorded in the articles of incorporation of JICT:</Sentence>
							</ParagraphSentence>
							<Item Num="1">
								<ItemTitle>(i)</ItemTitle>
								<ItemSentence>
									<Sentence Num="1" Function="Main">the number of shares issued at the time of incorporation of JICT (hereinafter referred to as a "share issued at incorporation")(if it is intended to incorporate JICT as a company with class shares, those classes and the number of shares in each class);</Sentence>
								</ItemSentence>
							</Item>
							<Item Num="2">
								<ItemTitle>(ii)</ItemTitle>
								<ItemSentence>
									<Sentence Num="1" Function="Main">the amount to be paid in for a share issued at incorporation (meaning the amount of money paid in, or assets other than money contributed, in exchange for one share issued at incorporation );</Sentence>
								</ItemSentence>
							</Item>
							<Item Num="3">
								<ItemTitle>(iii)</ItemTitle>
								<ItemSentence>
									<Sentence Num="1" Function="Main">the number of shares issued at incorporation allotted to the government (if it is intended to incorporate JICT as a company with class shares, those classes and the number of shares in each class);</Sentence>
								</ItemSentence>
							</Item>
							<Item Num="4">
								<ItemTitle>(iv)</ItemTitle>
								<ItemSentence>
									<Sentence Num="1" Function="Main">the matters set forth in Article 107, paragraph (1), item (i) of the Companies Act;</Sentence>
								</ItemSentence>
							</Item>
							<Item Num="5">
								<ItemTitle>(v)</ItemTitle>
								<ItemSentence>
									<Sentence>an indication that JICT has a board of directors and company auditors; and</Sentence>
								</ItemSentence>
							</Item>
							<Item Num="6">
								<ItemTitle>(vi)</ItemTitle>
								<ItemSentence>
									<Sentence>an indication that JICT dissolves upon completion of the operations set forth in the items of Article 23, paragraph (1).</Sentence>
								</ItemSentence>
							</Item>
						</Paragraph>
						<Paragraph Num="2" id="en_ch2at1cl2">
							<ParagraphNum>(2)</ParagraphNum>
							<ParagraphSentence>
								<Sentence>The following information must not be specified or recorded in the articles of incorporation of JICT:</Sentence>
							</ParagraphSentence>
							<Item Num="1">
								<ItemTitle>(i)</ItemTitle>
								<ItemSentence>
									<Sentence>an indication that JICT has an audit and supervisory committee or a nominating committee, etc. provided in Article 2, item (xii) of the Companies Act; and</Sentence>
								</ItemSentence>
							</Item>
							<Item Num="2">
								<ItemTitle>(ii)</ItemTitle>
								<ItemSentence>
									<Sentence>the provisions provided in accordance with the proviso to Article 139, paragraph (1) of the Companies Act.</Sentence>
								</ItemSentence>
							</Item>
						</Paragraph>
					</Article>
					<Article Num="9" id="en_ch2at2">
						<ArticleCaption>(Approval of Incorporation)</ArticleCaption>
						<ArticleTitle>Article 9</ArticleTitle>
						<Paragraph Num="1" id="en_ch2at2cl1">
							<ParagraphNum/>
							<ParagraphSentence>
								<Sentence>The incorporators of JICT must prepare the articles of incorporation, and must submit these articles of incorporation and the business plan to the Minister for Internal Affairs and Communications to apply for approval to incorporate promptly after subscribing for shares issued at incorporation allotted to them.</Sentence>
							</ParagraphSentence>
						</Paragraph>
					</Article>
					<Article Num="10" id="en_ch2at3">
						<ArticleTitle>Article 10</ArticleTitle>
						<Paragraph Num="1" id="en_ch2at3cl1">
							<ParagraphNum>(1)</ParagraphNum>
							<ParagraphSentence>
								<Sentence>If an application for approval under the provisions of the preceding Article is filed, the Minister for Internal Affairs and Communications must examine whether the application conforms to the following standards:</Sentence>
							</ParagraphSentence>
							<Item Num="1">
								<ItemTitle>(i)</ItemTitle>
								<ItemSentence>
									<Sentence Num="1" Function="Main">the procedures of the incorporation and the contents of the articles of incorporation conform to the provisions of laws and regulations;</Sentence>
								</ItemSentence>
							</Item>
							<Item Num="2">
								<ItemTitle>(ii)</ItemTitle>
								<ItemSentence>
									<Sentence>nothing false is specified or recorded in the articles of incorporation, nor is a false signature, name or seal affixed thereto (including the actions that are taken in lieu of the signing or the affixing of the names and seals under the provisions of Article 26, paragraph (2) of the Companies Act); and</Sentence>
								</ItemSentence>
							</Item>
							<Item Num="3">
								<ItemTitle>(iii)</ItemTitle>
								<ItemSentence>
									<Sentence>it is certain that the management of the operations is soundly performed and contributes to the promotion of target businesses.</Sentence>
								</ItemSentence>
							</Item>
						</Paragraph>
						<Paragraph Num="2" id="en_ch2at3cl2">
							<ParagraphNum>(2)</ParagraphNum>
							<ParagraphSentence>
								<Sentence>If the Minister for Internal Affairs and Communications finds the application to conform to the standards set forth in the items of the preceding paragraph as a result of examination pursuant to the same paragraph, the minister must approve the incorporation.</Sentence>
							</ParagraphSentence>
						</Paragraph>
					</Article>
					<Article Num="11" id="en_ch2at4">
						<ArticleCaption>(Election of Directors and Company Auditors at Incorporation and Their Dismissal)</ArticleCaption>
						<ArticleTitle>Article 11</ArticleTitle>
						<Paragraph Num="1" id="en_ch2at4cl1">
							<ParagraphNum/>
							<ParagraphSentence>
								<Sentence>The election of directors at incorporation provided in Article 38, paragraph (1) of the Companies Act and the election of company auditors at incorporation provided in paragraph (3), item (ii) of the same Article, and their dismissal do not become effective without the approval of the Minister for Internal Affairs and Communications.</Sentence>
							</ParagraphSentence>
						</Paragraph>
					</Article>
					<Article Num="12" id="en_ch2at5">
						<ArticleCaption>(Replacement of Terms in Provisions of the Companies Act)</ArticleCaption>
						<ArticleTitle>Article 12</ArticleTitle>
						<Paragraph Num="1" id="en_ch2at5cl1">
							<ParagraphNum/>
							<ParagraphSentence>
								<Sentence>With respect to the application of the provisions of Article 30, paragraph (2), Article 34, paragraph (1), Article 59, paragraph (1), item (i), and Article 963, paragraph (1) of the Companies Act, the phrase "Articles of incorporation that are certified by a notary public pursuant to the preceding paragraph may not be amended before the formation of the Stock Company" in Article 30, paragraph (2) of the same Act is deemed to be replaced with "Articles of incorporation may not be amended before the incorporation of Fund Corporation for the Overseas Development of Japan's ICT and Postal Services after the approval set forth in Article 10 paragraph (2) of the Act on Fund Corporation for the Overseas Development of Japan's ICT and Postal Services (Act No. 35 of 2015)"; the phrase "subscription for shares issued at incorporation" in Article 34, paragraph (1) of the same Act is deemed to be replaced with "the approval set forth in Article 10, paragraph (2) of the Act on Fund Corporation for the Overseas Development of Japan's ICT and Postal Services"; the phrase "the date of the certification of the articles of incorporation and the name of the notary public who effected that certification" in the same item is deemed to be replaced with "the date of the approval set forth in Article 10, paragraph (2) of the Act on Fund Corporation for the Overseas Development of Japan's ICT and Postal Services"; and the phrase "Article 34, paragraph (1)" in Article 963, paragraph (1) of the same Act is deemed to be replaced with "Article 34, paragraph (1) (including when the provisions are applied pursuant to the provisions of Article 12 of the Act on Fund Corporation for the Overseas Development of Japan's ICT and Postal Services after deemed replacement)."</Sentence>
							</ParagraphSentence>
						</Paragraph>
					</Article>
					<Article Num="13" id="en_ch2at6">
						<ArticleCaption>(Non-Applicability of Provisions of the Companies Act)</ArticleCaption>

								<Sentence>The provisions of Article 30, paragraph (1) and Article 33 of the Companies Act do not apply to the incorporation of JICT.</Sentence>

									<Sentence>A resolution electing or dismissing a director or company auditor of JICT does not become effective without the approval of the Minister for Internal Affairs and Communications.</Sentence>

									<Sentence>A director, accounting advisor, company auditor or employee of JICT or a person that was employed as such must not disclose or misappropriate any secret learned in the course of the person's duties.</Sentence>

						<SectionTitle>Section 2 Committee on Overseas Communications, Broadcasting and Postal Businesses</SectionTitle>

									<Sentence>The Committee on Overseas Communications, Broadcasting and Postal Businesses (hereinafter referred to as the "committee") is established in JICT.</Sentence>

									<Sentence>The committee is deemed to have been delegated by the board of directors to make the decisions set forth in items (i) and (ii) of the preceding paragraph.</Sentence>

							<ArticleCaption>(Committee Organization)</ArticleCaption>

									<Sentence>The committee is to be composed of three to seven members who are directors.</Sentence>

							<ArticleCaption>(Revocation of the Decision to Provide Support)</ArticleCaption>

								<ParagraphSentence>
									<Sentence>In the following cases, JICT must promptly revoke a decision under the provisions of paragraph (1) of the preceding Article (referred to as a "decision to provide support" in the following paragraph):</Sentence>

										<Sentence>if the target business operator fails to engage in the target business; or</Sentence>

										<Sentence>if the target business operator receives an order of commencement of bankruptcy proceedings, an order of commencement of rehabilitation proceedings, an order of commencement of reorganization proceedings, an order of commencement of special liquidation proceedings or an order of recognition of foreign insolvency proceedings.</Sentence>

							</Paragraph>

							<ArticleCaption>(Transfer and Other Disposition of Shares)</ArticleCaption>

						</Paragraph>
						<Paragraph Num="2" id="en_ch9at1cl2">
							<ParagraphNum>(2)</ParagraphNum>
							<ParagraphSentence>
								<Sentence>A personnel who conducts an on-site inspection pursuant to the provisions of the preceding paragraph must carry identification and present it to persons concerned.</Sentence>
							</ParagraphSentence>
						</Paragraph>

							<ParagraphNum>(3)</ParagraphNum>
							<ParagraphSentence>
								<Sentence>The authority to conduct an on-site inspection under the provisions of paragraph (1) must not be construed as being granted for criminal investigation purposes.</Sentence>

				</Chapter>
				<Chapter Num="10" id="en_ch10">
					<ChapterTitle>Chapter X Penal Provisions</ChapterTitle>

							<ParagraphSentence>
								<Sentence Num="1">A director, accounting advisor (if the accounting advisor is a corporation, its member who is to perform the duties of the accounting advisor), company auditor or employee of JICT who accepts, solicits or promises to accept a bribe in connection with the duties thereof is punished by imprisonment for not more than three years.</Sentence>
								<Sentence Num="2">If that person commits a wrongful act or fails to commit a reasonable act for this reason, the person is punished by imprisonment for not more than five years.</Sentence>
							</ParagraphSentence>
						</Paragraph>
						<Paragraph Num="2" id="en_ch10at1cl2">
							<ParagraphNum>(2)</ParagraphNum>
							<ParagraphSentence>
								<Sentence Num="1">In the case referred to in the preceding paragraph, the bribe accepted by the criminal is confiscated.</Sentence>
								<Sentence Num="2">If all or part of the bribe cannot be confiscated, the equivalent value thereof is collected.</Sentence>
							</ParagraphSentence>
						</Paragraph>
					</Article>
					<Article Num="41" id="en_ch10at2">

								<Sentence>A person who gives, offers to give or promises to give a bribe set forth in paragraph (1) of the preceding Article is punished by imprisonment for not more than three years or by a fine of not more than 1,000,000 yen.</Sentence>

							<ParagraphNum>(2)</ParagraphNum>

								<Sentence>If a person who has committed the crime set forth in the preceding paragraph surrenders, the person may be given a reduced sentence or granted an absolute discharge.</Sentence>

					</Article>

								<Sentence>If a director, accounting advisor (if the accounting advisor is a corporation, its member who is to perform the duties of the accounting advisor), company auditor or employee of JICT or a person who was employed as such discloses or misappropriates any secret learned in the course of the person's duties in violation of the provisions of Article 15, the person is punished by imprisonment for not more than one year or by a fine of not more than 500,000 yen.</Sentence>

						</Paragraph>
					</Article>
					<Article Num="44" id="en_ch10at5">

								<Sentence>If JICT fails to make a report under the provisions of Article 39, paragraph (1) or makes a false report, or if it refuses, obstructs or evades an inspection under the provisions of the same paragraph, the director, accounting advisor (if the accounting advisor is a corporation, its member who is to perform the duties of the accounting advisor), company auditor or employee of JICT who has committed the violation is punished by a fine of not more than 500,000 yen.</Sentence>
							</ParagraphSentence>
						</Paragraph>
					</Article>
					<Article Num="45" id="en_ch10at6">
						<ArticleTitle>Article 45</ArticleTitle>
						<Paragraph Num="1" id="en_ch10at6cl1">

							<ParagraphSentence>
								<Sentence>In the case falling under any of the following items, the director, accounting advisor or employee who is to perform the duties thereof or company auditor of JICT who has committed the violation is punished by a non-criminal fine of not more than 1,000,000 yen:</Sentence>

								<ItemTitle>(i)</ItemTitle>
								<ItemSentence>
